Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Educator Canvas application, related software, and this website (together, the "Service"), provided by Global Fin X ("Global Fin X", "we", "us" or "our"). By downloading, installing or using the Service you agree to these Terms.

1. Acceptance of these terms

By accessing or using the Service, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy and Refund Policy, which are incorporated by reference. If you do not agree, do not use the Service.

2. Definitions

• "App" means the Educator Canvas software for Windows, Android and any other supported platform.
• "Content" means the PDFs, documents, annotations, ink, notes, audio, images and other materials you create, open or import in the App.
• "AI Provider" means a third-party artificial-intelligence service (such as OpenAI, Google Gemini, Anthropic Claude or DeepSeek) that you connect using your own API key.
• "You" means the individual or entity using the Service.

3. Licence to use the app

Subject to these Terms, Global Fin X grants you a limited, non-exclusive, non-transferable, revocable licence to install and use the App on devices you own or control, for your personal or internal educational and professional purposes. This licence does not transfer any ownership of the Service to you.

You may not, except to the extent permitted by law: (a) copy, modify, or create derivative works of the App; (b) reverse engineer, decompile or disassemble the App; (c) rent, lease, lend, sell, sublicense or otherwise commercially redistribute the App; or (d) remove or alter any proprietary notices.

4. Accounts & eligibility

The App is designed to work locally and may not require an account. Where any account, registration or licence key is offered, you are responsible for keeping your credentials secure and for all activity under them. You must be old enough to form a binding contract in your jurisdiction, or use the Service under the supervision of a parent, guardian or institution that agrees to these Terms on your behalf.

5. Acceptable use

You agree not to use the Service to:

• infringe the intellectual-property or privacy rights of others, including annotating or distributing material you are not authorised to use;
• upload or process unlawful, harmful, or infringing Content;
• attempt to gain unauthorised access to the Service, other users' data, or connected systems;
• interfere with or disrupt the integrity or performance of the Service; or
• use the Service in violation of any applicable law or regulation.

6. AI features & bring-your-own-key

The App offers optional AI features that operate on a "bring your own key" (BYOK) basis. To use them you must supply your own API key for a supported AI Provider. When you invoke an AI feature, the relevant Content (for example, selected text or an image of a selection) is sent from your device to your chosen AI Provider for processing, subject to your consent at the point of use.

• Your use of any AI Provider is governed by that provider's own terms and privacy policy, which you are responsible for reviewing and complying with.
• You are responsible for all charges billed to you by the AI Provider under your key.
• AI output may be inaccurate, incomplete or unsuitable. You are responsible for reviewing AI output before relying on or distributing it. Global Fin X does not warrant AI output.
• Do not submit Content to AI features that you are not permitted to disclose to a third party.

7. Your content & documents

You retain all rights in your Content. Global Fin X does not claim ownership of your documents, annotations or notes. The App is designed to be local-first: your Content is generally stored on your device and, where you enable it, synced to a storage location you control (such as your own NextCloud or WebDAV server). You are solely responsible for your Content, for maintaining backups, and for having the rights necessary to use it.

8. Third-party services

The Service may interoperate with third-party services you choose to connect, including AI Providers and WebDAV/NextCloud storage. We do not control and are not responsible for those services. Your use of them is at your own risk and subject to their terms.

9. Intellectual property

The Service, including the App, its software, design, logos, "Educator Canvas" and "Global Fin X" marks, and all related intellectual property, are and remain the property of Global Fin X and its licensors. Except for the licence expressly granted in Section 3, no rights are granted to you.

10. Purchases, subscriptions & billing

Pricing for the Service is being finalised and is currently marked "Coming Soon". If and when paid plans, licences or subscriptions are introduced, the applicable prices, billing terms and renewal terms will be presented to you at the point of purchase and, together with our Refund Policy, will form part of these Terms. Where purchases are made through a third-party store (such as Google Play or the Microsoft Store), that store's terms and refund rules may also apply.

11. Disclaimers & warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that Content or data will never be lost. You are responsible for maintaining independent backups of important Content.

12. Limitation of liability

To the maximum extent permitted by law, Global Fin X and its officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of data, profits, revenue or goodwill, arising out of or related to your use of (or inability to use) the Service. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve months before the claim, or (b) the applicable minimum amount required by law. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Global Fin X from any claims, damages, liabilities and expenses (including reasonable legal fees) arising from your Content, your use of the Service, your use of third-party services and AI Providers, or your breach of these Terms.

14. Termination

You may stop using the Service and uninstall the App at any time. We may suspend or terminate your access if you breach these Terms or where required by law. Provisions that by their nature should survive termination (including Sections 9, 11, 12, 13 and 17) will survive.

15. Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

16. Terms & Conditions of use

These additional conditions apply alongside the Terms above and together constitute the complete "Terms & Conditions" for the Service:

16.1 Educational use

Educator Canvas is a productivity tool for annotating and organising documents. It is your responsibility to ensure you hold the necessary rights to any copyrighted teaching materials you open, annotate, export or distribute using the App.

16.2 Availability

Features described on this website reflect the product's intended capabilities and may change, be added to, or be withdrawn as the product develops. Some features depend on your device, operating system, stylus hardware, or third-party services.

16.3 No professional advice

The Service, including any AI output, does not constitute professional, legal, financial or academic advice, and should not be relied upon as such.

16.4 Feedback

If you send us feedback or suggestions, you grant us a non-exclusive, royalty-free, perpetual licence to use it to improve the Service, without obligation to you.

16.5 Force majeure

We are not liable for any failure or delay caused by events beyond our reasonable control.

16.6 Entire agreement & severability

These Terms are the entire agreement between you and Global Fin X regarding the Service. If any provision is found unenforceable, the remaining provisions remain in full effect.

17. Governing law

These Terms are governed by the laws of India, without regard to its conflict-of-laws rules, and the courts located in India will have exclusive jurisdiction, unless a mandatory law in your place of residence provides otherwise.
